Seller / Vendor Agreement (For Suppliers)

This Seller/Vendor Agreement ("Agreement") governs the relationship between B2Bkarts.com ("Platform") and the supplier/vendor ("Seller") listing products for sale on the Platform.

1. Eligibility of Seller

1. Seller must be a legally registered business entity in India.
2. Seller must possess valid GST registration and applicable trade licenses.
3. Seller confirms authority to sell the listed products.

2. Product Listing & Quality

1. Seller is responsible for accurate product descriptions, pricing, size sets, and images.
2. Products must meet agreed quality standards.
3. Platform reserves the right to remove listings without notice for quality or compliance issues.

3. Pricing & Commission

1. Seller agrees to wholesale pricing suitable for B2B resale.
2. Platform commission, if any, shall be mutually agreed in writing.
3. Seller bears all applicable taxes unless otherwise agreed.

4. Order Fulfilment

1. Seller must dispatch orders within agreed timelines.
2. Delay or non-fulfilment may attract penalties or suspension.

5. Returns & Disputes

1. Seller agrees to honour approved return cases as per Platform policies.
2. Platform decision in disputes shall be final.

6. Termination

Either party may terminate this Agreement with or without cause by written notice. Platform may terminate immediately for policy violation.

Credit, Ledger & Payment Policy

1. All transactions are advance payment only, unless credit terms are approved in writing.
2. Credit facility, if granted, is discretionary and may be withdrawn anytime.
3. Delayed payments may attract penalties or account suspension.
4. Platform maintains digital ledgers for transparency; buyer must report discrepancies within 7 days.

Warehouse, Transit & Risk Policy

1. Goods stored in warehouse are handled with reasonable care.
2. Risk transfers to buyer upon dispatch.
3. Platform is not liable for losses due to fire, theft, natural calamities, or force majeure.

Legal Notice & Communication Policy

1. All legal notices must be sent via registered email or physical address.
2. Platform shall respond within a reasonable timeframe.
3. Jurisdiction shall remain as per Terms & Conditions.
